Aditya Infotech to take 30% of BLUE for about Rs 45.4 crore
CP PLUS owner signs cash deals for a stake in the Bengaluru AI video-compression startup at about Rs 151 crore post-money, subject to closing conditions.

Aditya Infotech Limited, owner of the CP PLUS surveillance brand, has board approval to invest about Rs 45.4 crore for a 30% stake on a fully diluted basis in KGraph AI Solutions Private Limited, which trades as BLUE. The company told the exchanges on 5 November 2026 that it had signed a share subscription and share purchase agreement plus a shareholders agreement. ET Electronics and the company's exchange press release both report a post-money valuation of about Rs 151 crore, with the cash mix covering fresh equity and shares bought from existing shareholders.
BLUE is a Bengaluru private company incorporated in August 2023. Aditya Infotech's Regulation 30 annexure lists audited turnover of about Rs 80 lakh in FY26, about Rs 36 lakh in FY25, and nil in FY24. The press release says six co-founders with IIT Bombay and IIM Bangalore backgrounds lead the firm, names Kunal Kislay as co-founder and CEO, and describes a 10-patent pipeline with three applications filed and seven in progress. Aditya's investor materials say it will hold one board seat and one observer seat, and that BLUE will keep operating independently while working with Aditya R&D teams in Noida, Ahmedabad and Taiwan.
The company pitch is AI-native video infrastructure. BLUE's Semantic Codec, the release says, adds a perception-aware compression layer on top of H.264 to drop redundant visual data while keeping essential detail. Based on BLUE's own deployment data, the firm claims storage and bandwidth cuts of up to 90%, running on edge hardware without GPUs and working with existing cameras and recorders. Those savings figures are company claims, not independently audited in the filings.
For Aditya Infotech the stake is framed as part of CP PLUS 2.0, a shift from hardware-led CCTV toward software and AI in the surveillance stack. Completion is subject to customary conditions. The exchange annexure points to closing within about 30 days of signing the SSPA, while the press release had targeted 5 November 2026 subject to the same conditions.
